Howdy -- what license key is it that you're using on that server? I'll verify that there isn't a problem with using it to access the software repository.
Also -- the server you're installing this on, is it a new installation of Ubuntu 12.04? Did you install it yourself, or is it an image created by a hosting provider?

it was an upgraded system that failed.
I redid it on a new install and it worked. please close this ticket.
